Stricter privacy rules at the Chamber of Commerce
With the change to Article 51 of the Commercial Register, it is no longer possible for everyone to access private addresses of business owners.
In brief:
The regulation makes it possible to shield the visiting address of a company or legal entity in the trade register. This is appropriate if there is a threat, and in connection with this it is not desirable for the address to be visible to everyone.
Section 51(3) Hrb provides that a visiting address of a company or legal entity listed in the commercial register can be shielded if it is necessary for the safety of one or more persons. This applies even if the address in question is not a residential address. The applicant must substantiate that shielding is really necessary. This can be done, for example, by showing that a threat has been reported.
Section 51(4) Hrb. provides that people who are exposed to probable threats due to their profession, such as journalists, can also have their visiting address blocked from the trade register as a preventive measure. For this foreclosure, however, the address must also be a residential address and the company in question must not be a limited liability company (BV or NV). The rules for preventive blocking are stricter, because there is no established threat to justify the reduction in transparency. For preventive foreclosure, professional organizations must make agreements with the Chamber of Commerce regarding the profession-related foreclosure criteria. In this way, the professional organizations play a role in assessing the requests.
For both schemes, foreclosure must then make sense. This means that the address to be foreclosed should not be findable in all sorts of places.
